Other terms that may apply include our Privacy Policy and any separate terms of supply.
Conduct
You agree not to: (i) upload or distribute files containing malware; (ii) interfere with or disrupt the Sites; (iii) use automated tools to access or collect data from the Sites without our permission; (iv) impose an unreasonable load on our infrastructure; (v) harvest personal data of other users; (vi) impersonate any person or entity; (vii) post fraudulent, defamatory, obscene or illegal content; or (viii) use the Services for unlawful purposes. You must comply with all applicable laws.
Intellectual property
All content on the Sites, including text, data, graphics, designs, and software, is owned or licensed by Employsome. You may view, copy and print materials solely for internal business or personal use. Any sale, duplication, redistribution or modification outside this scope is prohibited without our prior written consent.
Software license
We grant you a revocable, non-exclusive, non-transferable licence to use our software solely in connection with your use of the Sites and Services. You must not reverse engineer or modify such software except where permitted by law.
No reliance / comparison disclaimer
Employsome provides independent comparison tools, data and editorial content to help you evaluate Employer of Record, payroll outsourcing and Professional Employment Organization providers. We do not provide legal, tax, HR or immigration advice. Information on the Sites is general in nature and may not be accurate, complete or current. You should obtain independent professional advice before making decisions.
Links
The Sites may contain links to third-party websites. We do not endorse or control these sites and bear no responsibility for any loss or damage caused by your use of them.
No warranties
We make no warranties that the Services will be uninterrupted, error-free or meet your expectations, nor that any information provided is complete or accurate. We may suspend, modify or withdraw the Sites at any time.
Limited liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPLOYSOME (INCLUDING ITS OFFICERS, EMPLOYEES AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR USE OF THE SITES OR SERVICES. NOTHING IN THESE TERMS EXCLUDES LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE OR FOR ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER SINGAPORE LAW.
Any claim relating to the Sites must be brought within one (1) year of the cause of action arising.
Indemnity
You agree to indemnify and hold harmless Employsome and its affiliates from any claims, losses, liabilities or expenses (including legal fees) arising from your breach of these Terms, your use of the Sites, any content you submit, or your violation of third-party rights.
Monitoring
Subject to our Privacy Policy, we may monitor activity on the Sites and remove or restrict any content or user access for violations of these Terms or for operational reasons.
Provision of information
To use certain Services, you must provide accurate and complete information and update it as needed. You warrant that you are authorised to provide such information. You grant Employsome a licence to use, process and display the information to operate and improve the Sites. Public communications you submit are considered non-confidential.
Compliance with laws
You must not use the Sites in a manner that violates applicable laws or exposes Employsome or its partners to sanctions under Singapore or international law.
Termination
We may suspend or terminate your access to the Sites at any time for breach of these Terms or for operational, legal or compliance reasons. Termination will not affect accrued rights or obligations. Clauses intended to survive termination will remain in effect.
General
These Terms are governed by the laws of the Republic of Singapore. You and Employsome agree to submit to the exclusive jurisdiction of the Singapore courts.
If any provision is found invalid, the remaining provisions remain enforceable. No joint venture, partnership or employment relationship is created by these Terms. You may not assign rights under these Terms without our consent.
Intended audience
The Sites are accessible globally but certain Services or provider listings may be limited to specific jurisdictions. You are responsible for ensuring that a provider or service complies with local laws applicable to your business operations.
Provider listings and comparison transactions
Employsome is a comparison and lead-generation platform. We do not act as an employer, agent or representative of listed providers. Any agreement you enter into with a provider is solely between you and that provider. You should conduct due diligence and seek professional advice before entering into a contract.
Customer accounts
If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity conducted under your account. Notify us immediately of any unauthorised use.
Data and privacy
We process personal data in accordance with our Privacy Policy. By using the Sites, you consent to our collection, use and disclosure of your information as described in that policy.
Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by updating this page and, where appropriate, notifying registered users. Continued use of the Sites constitutes acceptance of the updated Terms.
